M. Joanna Cameron Joins Cassels Brock

Joanna has experience advising publicly listed companies with respect to public offerings, private placements, take-over bids, mergers and acquisitions, as well as advising on continuous disclosure and other regulatory requirements.

Joanna has particular experience assisting publicly listed issuers in the mining industry, including those issuers listed on both the TSX and ASX.

Representative transactions in the mining sector include:

  • Acting for bcMetals Corporation in connection with two competing take-over bids and its ultimate acquisition by Imperial Metals Ltd.
  • Acting for Marengo Mining Limited in connection with its initial TSX listing and concurrent public offering of ordinary shares raising gross proceeds of C$9.8 million.
  • Acting for Mirabela Nickel Limited in connection with its initial TSX listing and concurrent public offering of ordinary shares, raising gross proceeds of C$183 million.
  • Acting for Mirabela Nickel Limited in connection with a public offering of subscription receipts, raising gross proceeds of C$120 million.
  • Acting for Minera Andes Inc. in connection with a bought-deal of units raising gross proceeds of C$23 million.
  • Acting for Minera Andes in connection with a business combination between Minera Andes Inc. and US Gold Corporation by way of plan of arrangement (having a transaction value of $1.49 billion).
  • Acting for Perseus Mining Limited in connection with a private placement of subscription receipts and concurrent TSX listing, raising gross proceeds of A$35 million.
  • Acting for Perseus Mining Limited in connection with a public offering of ordinary shares, raising gross proceeds of C$91 million.
  • Acting for Troy Resources NL in connection with a public offering of ordinary shares and concurrent TSX listing, raising gross proceeds of C$24.7 million.
  • Acting for EurOmax Resources Ltd. In connection with a proxy-contest by dissident shareholders;
  • Acting for Maudore Minerals Ltd. In connection a proxy-contest by dissident shareholders;
  • Acting for the special committee of Klondex Mines Ltd. In connection with the successful defence of two unsolicited acquisition proposals;
  • Acting for Coventry Resources Ltd. In connection with a brokered private placement of ordinary shares.

Joanna also has experience advising private companies, including early stage technology companies with, share and asset acquisitions, capital investments, shareholders’ agreements, stock option plans, management agreements and providing on-going advice on a variety of general business law matters.

Representative transactions in which Joanna has been involved outside of the mining sector include;

  • Initial public offering by Sterling Shoes Income Fund of units raising gross proceeds of C$53 million
  • Initial public offering by VCom Inc., a local technology company in connection raising gross proceeds of C$28 million
  • Acquisition of Black Box Games by Electronic Arts Inc.
  • Private placement of project bonds by Columbia Power Corporation
  • Private placement of secured notes by Seaspan International Ltd.
  • Private placement of unsecured notes by Riverside Forest Products Ltd.
  • Acquisition of Riverside Forest Products Ltd. by Tolko Industries Ltd.
  • Acquisition of Datum Telegraphic Inc. by PMC Sierra, Inc., by way of exchangeable shares and cash.
