Georgian - Associate General Counsel

Founded in 2008, Georgian is a Toronto-based growth equity investment manager that invests in high-growth B2B software companies with approximately US$5.1B in assets under management. The team brings together investors, AI and machine learning professionals, software entrepreneurs, and experienced operators.

Reporting to the Chief Legal Officer & Chief Compliance Officer, you will work closely across the entire business, from investments, operations, fundraising, marketing and research and development, to advise on legal, regulatory and compliance issues in connection with Georgian’s role as a manager to private funds. You will advise on a wide range of private fund and corporate legal matters, support strategic initiatives, and collaborate with both internal and external stakeholders to ensure effective, risk-based legal solutions that align with Georgian’s business objectives.

The successful candidate will contribute to fund formation, governance, and fundraising efforts, while also partnering with the Investment Team on legal aspects of transactions, including structuring, due diligence, execution, and exits. The role also includes supporting Georgian’s compliance program and assisting with regulatory matters in the U.S., Canada, and globally, including registrations and filings.

The ideal candidate will have 12-15 years of experience in corporate, transactional, compliance, regulatory, and/or litigation roles, with time spent at a top-tier law firm and within an in-house legal team (preferably in asset management, technology, or financial services). Success in this role requires excellent communication skills, a client-focused mindset, and the ability to work both independently and collaboratively. A strong work ethic, proactive approach, and a great sense of humour are important qualities for thriving in Georgian’s dynamic environment.
